CONSTITUTION
LITITZ WOMAN’S CLUB
Revised and Adopted October 18, 2010

ARTICLE I- Name
The name of this organization shall be “Lititz Woman’s Club” and hereinafter referred to as the Club.

ARTICLE II- Mission Statement
The objectives of the Club shall be to develop the educational, civic, and social interests of its members and to foster a generous spirit in the community.

ARTICLE III- Membership
Section I
Membership shall be composed of women who have been elected to the membership and who have paid initiation fees and membership dues.

Section II
Application for membership shall be submitted in writing to the chairperson of the Membership Committee.  An applicant must be recommended by a Club member. The proposed new member may be approved at any meeting of the Board of Directors upon recommendation of the Membership Committee.

Section III
Resignations must be sent in writing to the Membership Committee Chairperson and presented by her to the Board of Directors.

Section IV
Any woman who has been a member in good standing of the Lititz Woman’s Club for fifty (50) years will be granted an honorary membership and be exempt from payment of dues.  The Board of Directors may grant an honorary membership due to special circumstances.

ARTICLE IV- Dues
Section I
The initiation fee and annual dues may be determined at such amounts as the Board of Directors shall determine prior to the beginning of any membership period.  Any member joining on or after February 1 of the Club year shall pay fifty percent (50%) of the annual dues.

Section II
Dues are payable to the Membership Chairperson before October 31 of each year.  An additional late fee as determined by the Board of Directors will be assessed after November 1.  Members in arrears after December 31 will be dropped from the Club membership upon official written notice.

ARTICLE V- Officers, Election and Duties
Section I
The Executive Officers of this Club shall be a President, a First Vice-president, a Second Vice-president, a Recording Secretary, a Corresponding Secretary, a Treasurer, and the Finance Chairperson.  These officers shall be elected annually.

Section II
The term of office shall be one club year.  No member shall hold more than one office at a time.  No member shall be eligible for the same office for more than two consecutive terms.

Section III
The Nominating Committee of five (5) members as defined in the Club policies shall be appointed by the President and approved by the Board of Directors.  The committee shall nominate at least one candidate for each office to be filled at the next election.

Section IV

The President shall preside at all meetings of the Club and have general supervision of the work of the Club.  She shall be an ex-officio member of all committees, except the Nominating Committee.

Section V
The Vice-presidents, in their order, shall perform the duties of the President in the absence or inability of the President.

Section VI
The Recording Secretary shall keep minutes of the Board of Directors and General Membership meetings.

Section VII
The Corresponding Secretary shall conduct the correspondence of official Club business as well as remembrance of Club members.

Section VIII
The Treasurer shall receive all monies for the Club and deposit them in a bank approved by the Executive Officers.  She shall pay all bills within the approved budget limits.  Other expenditures need the approval of the Board of Directors.  She shall present a written report at each Club meeting and an annual report at the September General Membership meeting.

Section IX
The Finance Chairperson oversees the financial business of the Club.

Section X
The fiscal year shall be from the first day of August of each year to the last day of July of the succeeding year.

Section XI
When a vacancy occurs in an elective office, the unexpired term of such office shall be appointed by the Board of Directors.

ARTICE VI- Board of Directors and Meetings
Section I
The officers of the Club and the chairpersons of the committees shall constitute the Board of Directors, which shall have authority over the affairs of the Club between the Club’s business meetings.

Section II
Fifty percent (50%) of the Board of Directors shall constitute a quorum.

Section III
 The Board of Directors shall meet the last Monday of August; the third Monday of October, November, January, February, March, and April; the second Monday of December; and the first Monday of May and June.

ARTICLE VII- General Membership and Meetings

Section I
The General Membership meetings of the Club shall be held the third Monday of September, October, November, March, April, and May.  The December General Membership meeting shall be held the second Monday.

Section II
Special meetings may be called by the President or by the President at the request of five (5) members.  The call shall state the objective of the meeting.

Section III
Special General Membership meetings of the Club may be called by the President with approval from the Board of Directors.  No business other than that specified in the notice of the meeting shall be transacted at such special meeting.  Members must be notified personally, electronically, or by mail, at least ten (10) days prior to the meeting.

Section IV
At any General Membership meeting fifty-one percent (51%) of the membership in attendance shall constitute a quorum for the transaction of club business and/or voting.

ARTICLE VIII- Budget
The annual budget shall be prepared by the Finance Committee, approved by the Board of Directors, and presented at the September General Membership meeting.

ARTICLE IX- Committees
Section 1
There shall be the following committees: Archives, Publicity, Arts and Social, Child Reach, Conservation, Education, Finance, Fourth of July, Home Life, Hospitality, Membership, Program, Public and International Affairs, Scholarship, Scholarship Fundraiser, and Ways and Means.  Ad hoc committees will be established when deemed necessary.

Section II
Committee chairpersons shall be appointed by the President.

ARTICLE X- Parliamentary Authority
The rules contained in Robert’s Rules of Order (revised) shall govern the Club in all cases to which they are applicable and in which they are not inconsistent with this Constitution.

ARTICLE XI- Amendments
This Constitution may be amended at any General Membership meeting by a fifty-one percent (51%) vote of the members present, providing that the proposed changes have been submitted in writing to the members personally, electronically, or by mail at least ten (10) days prior to the meeting.
